Krung Thai Bank PLC determines to create sustainable success to the organization under the concept of Good Corporate Governance. To ensure that all the banks’ operations are in accordance with the law and ethical philosophy of a good banker, employees of the bank, then, should be aware of such ethics and well behave as stated in the code of conduct with integrity, morality and ethics. Since all level of operation and management can affect to the Bank’s shareholders, customers, business partners, society and even our country. To achieve this, top management need to demonstrate the serious integrity in employees’ ethics as well as to create the working environment allowing employees to practice ethical values along with preventing any violation against the ethics.
We, then, stipulate the following Code of Conduct in order to guide our employees to act in compliance with Good Corporate Governance standards. Key principles are as follows:
1. Interaction with Customers |

| 1.1 | Provide hearty services with full ability to every customer equally and fairly. Be ready to help and give suggestion. Be thoughtful and polite. | |
| 1.2 | Be ready to listen to customers’ problems as well as try to figure out the causes and find the proper solutions. | |
| 1.3 | Do not disclose customers’ confidential information, except being required by the law or having customers’ written consent. | |
2. Interaction with Suppliers |

| 2.1 | Employees who takes parts in selling or buying every kind of the Bank’s properties, products and services have to consider the best interests for the Bank, not for themselves or their preferred parties. This also has to be based on the proper disclosure of facts to make sure that buyers or sellers of the properties clearly understand and receive the complete information. | |
| 2.2 | To be free from possible criticism of being favoring one party over another, avoid accepting gifts, or invitations to private parties or receptions from buyers or sellers of the properties, products and services, which are specifically held for some reasons. This includes offsite visit which buyers or sellers of the properties, products and services offer to pay for. | |

6. Interaction as Supervisors |

| 9.4 | Demonstrate self-discipline and represent the Bank’s good image with polite attire, attitude, and personality. Refrain from disrespectful behaviors including indecent nightlife, gambling, extravagance, which may bring about disgrace to themselves and the bank. | |
| 9.5 | Do not possess or consume alcoholic beverages and drugs in workplace. Employees affected by the use of alcohol and drugs are not encouraged to be on duty. | |
| 9.6 | Verbal, physical, and sexual harassment including defamation, falsification, aggression, assault, provoking pictures and messages, and other perceivable intimidation, are strictly prohibited. | |
| 9.7 | Be good team-player and promote unity in corporate. | |
| 9.8 | Demonstrate good examples to subordinates and colleagues. | |
10. Guidance on Information handling |

| 10.1 | All kinds of the bank information must be actual and accurate. Employees are responsible for accurate and timely recording, production as well as regulatory compliance of information. | |
| 10.2 | Do not disclose confidential information of the bank, customers, buyers and sellers of products and services, to irrelevant parties without written consent from managing director or authoritative persons. | |
| 10.3 | Set control policies on appropriate and secured methods regarding photocopying, faxing, and information storage to prevent unauthorized access to such inside information. Employees should also avoid discussing any secret in public places such as elevator, hall, restaurant, rest room, or public transportation. | |
11. Guidance on the use of inside information for securities trading |

| 11.1 | Do not trade securities including stocks, bonds, stock warrants, and bond warrants, which are not announced to public (and can be classified as “inside information”). Employees who can access such inside information are prohibited from trading the abovementioned securities and are obliged to protect the confidentiality of such information. | |
| 11.2 | Do not disclose inside information to irrelevant persons who may exploit it in securities trading or pass on to other parties since such act is deemed illegal. | |
12. Guidance on dealing with conflicts of interest |

| 12.1 | Avoid involvements in money of and/or relationships with external parties which may adversely affect the bank’s interests. | |
| 12.2 | Avoid personal investments in companies which may affect the bank’s decision or operation. If such investments are dealt before joining the bank, employees must report this to managing director or authoritative persons. | |
| 12.3 | In order to take position as a director, officer, broker, dealer, or consultant of any company which has business connections with the banks, employees need permission from the bank’s board of directors. | |
| 12.4 | Misuse of name, premises, and business connections of the bank for personal interests are strictly forbidden. | |
13. Guidance on dealing with other benefits |

| 13.1 | Employees shall not receive gifts or incentives in forms of money, valuables, services, or similar type of benefits which may affect their decision on behalf of the bank. Such reception by other persons on their behalves are also prohibited. | |
| 13.2 | In cultural festivals, employees are permitted to receive gifts worth not over 300 baht in order to maintain connection with givers. However, any reception which may lead to inappropriate connection or favor should be avoided. | |
| 13.3 | Do not offer gifts to supervisors and/or receive gifts from subordinates in case that such act is provable to aim at gaining favor for promotion or performance appraisal. | |
14. Guidance on protecting bank’s assets |

| 14.1 | Use and store all bank’s assets for optimum benefits. All use for personal interests of employees or external parties are strictly prohibited. Besides maintaining the bank’s assets, and preventing possible loss, damage, as well as misuse, employees are also obliged to act in accordance with security measures and take precautions to any harmful situation which may damage the bank’s assets including cash, financial tools, documents, transportations, materials, name, symbols, information, intellectual properties (such as computer applications, graphics, etc.) and services. | |
| 14.2 | Disclose and yield benefits from all researches and developments undertaken while working in the bank. In case that employees are terminated or resign, properties and information acquired on duty are deemed as the banks’ assets. Therefore, copying, selling, and distributing of the abovementioned information, software, and other forms of intellectual properties are not permitted. | |
15. Guidance on dealing with information technology |

| 15.1 | Do not install and/or copy any software not provided by the bank in computers and other electronic devices of the bank. In case of necessity, employees must seek approval from the bank. | |
| 15.2 | Do not access information to make copies, distribute, delete, destroy, make changes, or any other harmful actions without permission. | |
| 15.3 | Do not use intranet, internet, or electronic mail for personal or external parties’ business. | |
| 15.4 | Refrain from accessing websites deemed by the bank as illegal or immoral and do not promote such websites to others. Employees are not encouraged to distribute any inappropriate message which violates the bank’s policies, causes disruption in operation, represents moral declination and/or is illegal, via intranet, internet, or electronic mail. | |
| 15.5 | Use information technology to operate the bank’s business only. Access to such technology in order to commit corruption or seek wrongful benefits are strictly forbidden. | |
